Welcome to Subdraft, an AI-powered marketing and content platform operated by Lightspark Games LLC ("Subdraft," "we," "our," or "us"). These Terms of Service (the "Terms") govern your access to and use of our website (subdraft.ai) and related services, including any AI-generated text or other content produced through our tools (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Key Definitions

  • Credits: Units that determine how much AI-generated content you can create. Credits are consumed whenever you generate content in the editor or request criteria for a content type. Depending on the AI model selected, each generation may consume a different number of credits. Editor generations can include up to seven content types (approximately 300–500 words each, or 2,100–3,500 words per generation).

  • User Content: Text, prompts, data, or other materials that you submit to Subdraft. You retain ownership of User Content.

  • Generated Content: AI-assisted outputs (such as text and metrics) produced by the Services in response to your instructions.

1. Agreement to Terms

By using Subdraft, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you use Subdraft on behalf of a company or organization, you represent that you have the authority to bind that entity, and "you" will refer to that entity.

2. Privacy Policy

Please review our Privacy Policy for details about how we collect, use, and disclose information about you. The Privacy Policy is incorporated into these Terms by reference.

3. Changes to These Terms

We may update these Terms from time to time. The revised version will be posted on our website with an updated "Last Updated" date.

If you continue using Subdraft after changes become effective, you agree to be bound by the updated Terms.

4. Eligibility and Account Registration

You may use Subdraft only if you are at least 18 years old and legally able to enter into a binding agreement.

You must maintain accurate account information and keep your password secure. You are responsible for any activity that occurs under your account.

If you suspect unauthorized access, please notify us immediately at support@subdraft.ai.

5. Feedback

We welcome feedback, ideas, and suggestions. By submitting feedback, you agree that Subdraft may use it freely without compensation or obligation.

6. Payments, Subscriptions, and Credits

Overview

  • Subdraft offers two payment options:

  • Monthly Subscription: $14.99 per month, automatically renewing until cancelled.

  • Pay-As-You-Go Credits: One-time purchases of AI credits that can be used until exhausted.

  • All prices are listed in U.S. dollars unless otherwise stated.

Payment Processing

  • We use third-party payment processors (such as Stripe) to handle transactions securely.

  • By purchasing a subscription or credits, you authorize Subdraft (and our processor) to charge your payment method for the selected amount plus any applicable taxes.

  • You represent that you have the legal right to use your payment method.

Monthly Subscription

  • When you subscribe to Subdraft, your plan renews automatically each month on the date of your original purchase.

  • You may cancel your subscription at any time before the next billing cycle to avoid additional charges.

  • Cancellations take effect at the end of your current billing period; no prorated refunds are provided for partial months.

Pay-As-You-Go Credits

  • Pay-As-You-Go credits do not expire and are non-refundable once purchased, except as required by law.

  • Each AI generation or action consumes a specified number of credits based on your selected options and model usage.

Refunds

  • You may request a refund if you reach out within five (5) days of your very first subscription purchase, and with two (2) or fewer credits used, by emailing support@subdraft.ai.

  • After that period, all sales for subscriptions are final and non-refundable.

  • Pay-as-you-go credits are non-refundable.

Credit Usage

  • Credits are consumed when content is generated in the editor or when criteria for a content type is created.

  • Different AI models may consume fewer or more credits for the same request.

  • Each editor generation can include up to seven content types (roughly 300–500 words each, or approximately 2,100–3,500 words per generation).

Cancellation and Billing Management

  • You may cancel an active subscription from the Documents Dashboard by navigating to Settings → Billing.

  • When you cancel, you retain access for the remainder of the current billing period unless we issue a refund, in which case access may end immediately.

  • If you reactivate in the future, charges resume at the then-current subscription price.

Price Changes

  • We may modify pricing for Subdraft at any time with notice on our website.

  • Any price changes for existing subscribers will apply at the next renewal period.

7. Service Availability and Support

We strive to keep the Services accessible at all times, but outages, maintenance windows, or other interruptions may occur. We reserve the right to suspend or modify the Services (or any feature) temporarily or permanently without notice. You acknowledge that Subdraft is not liable for any downtime or delayed delivery of Generated Content.

Support requests should be sent to support@subdraft.ai. We typically respond within 1–3 business days, excluding periods of high request volume or U.S. holidays. Response times are not guaranteed, and urgent requests should be escalated through your account manager if applicable.

8. User Content and Generated Content

User Content

You may submit text, prompts, data, or other materials ("User Content") through the Services. You retain ownership of your User Content. However, by submitting User Content, you grant Subdraft a non-exclusive, worldwide, royalty-free license to use, process, and display your content solely for the purpose of operating, maintaining, and improving our Services.

Generated Content

Our Services may generate AI-assisted text, images, or other materials ("Generated Content"). Subject to your compliance with these Terms and applicable law, Subdraft grants you a non-exclusive, transferable, worldwide license to use, reproduce, modify, distribute, display, and monetize the Generated Content for lawful purposes. You are responsible for reviewing all Generated Content before using or publishing it.

Subdraft does not use your User Content or Generated Content to train or improve third-party AI models.

AI output may contain inaccuracies or unintended material, and Subdraft makes no guarantees regarding factual accuracy or originality.

Intellectual Property

All intellectual property in the Subdraft platform (including software, branding, and interfaces) belongs to Lightspark Games LLC or its licensors. Except for rights expressly granted, nothing in these Terms gives you ownership or license to our intellectual property.

9. Acceptable Use and Restrictions

You agree not to use Subdraft to:

  • Violate any applicable law or regulation.

  • Infringe the intellectual property or privacy rights of others.

  • Generate, upload, or distribute content that is defamatory, abusive, obscene, hateful, or promotes discrimination or violence.

  • Attempt to probe, scan, or test the vulnerability of our systems.

  • Copy, modify, or reverse engineer our software or models.

  • Use Subdraft to develop competing AI models or services.

  • Mislead users into believing AI-generated content is purely human-created without disclosure if doing so would violate applicable law or platform policy.

Users must comply with the policies of our AI model providers (including OpenAI, Google, and xAI). Subdraft may block or modify prompts or outputs to comply with provider safety requirements or applicable law.

We may apply reasonable rate limits to protect platform stability, including limits on document exports, content generation frequency, and integration calls. Excessive or automated activity that degrades service performance may result in throttling, disabling of specific features, or account suspension. We reserve the right to suspend or terminate any account engaging in prohibited activity.

10. Confidentiality

Each party may receive non-public information disclosed by the other party or its users in connection with the Services ("Confidential Information"). Subdraft will use your Confidential Information—including marketing briefs, Generated Content, and account data—solely to operate and improve the Services and will protect it with commercially reasonable safeguards. Confidential Information does not include information that becomes public through no fault of the receiving party, was already known, is independently developed, consists of aggregated or anonymized data that cannot reasonably identify you, or must be disclosed by law.

If required by law to disclose your Confidential Information, we will provide notice (unless legally prohibited) so you may seek protective measures. You agree to treat Subdraft Confidential Information with similar care.

When your account terminates, we disable access immediately and delete or irreversibly anonymize your User Content and Generated Content within sixty (60) days, subject to any lawful hold requests. You are responsible for exporting any required records before cancellation. If we must retain data longer to comply with law, we will do so only for the minimum time necessary.

11. Copyright Policy (DMCA)

Subdraft respects intellectual property rights.

Outputs are generated by third-party AI models we do not control, and they may inadvertently include or resemble third-party material. We do not vet outputs for originality before they are shown to you.

If you believe your copyrighted work has been used in a way that constitutes infringement, please contact us at support@subdraft.ai with the following:

  • Your contact information.

  • Identification of the copyrighted material claimed to be infringed.

  • The location of the allegedly infringing content.

  • A statement that you have a good faith belief that use is unauthorized.

  • A statement under penalty of perjury that your notice is accurate.

12. Third-Party Links and Integrations

Our Services may include links to or integrations with third-party platforms. Subdraft is not responsible for the content, policies, or practices of these third parties.

If you choose to sign in with Google, you authorize us to receive your Google account name, email address, and profile picture solely to create and authenticate your Subdraft account. Google Sign-In is subject to Google's applicable terms and policies; you may revoke access through your Google account settings, which may disable Google-based sign-in until reconnected.

If you connect Trello, Monday.com, Slack, or Notion accounts to Subdraft (collectively, the "Connected Apps"), you authorize us to transmit the document content (including metrics derived from that content) and limited account identifiers needed to create cards, tasks, pages, or messages inside those platforms. Prompts and other in-app instructions remain within Subdraft and are not transmitted to Connected Apps. You remain responsible for managing access tokens, revoking connections, and complying with the Connected Apps' terms and privacy notices.

Subdraft may temporarily store Connected App access tokens solely to facilitate requested exports and deletes them when you disconnect an integration. We may modify, suspend, or discontinue any integration at our discretion. The prior Google Docs integration has been removed; we no longer transmit customer content to Google Docs.

13. Customer Security Responsibilities

You are solely responsible for safeguarding your account credentials, API keys, and Connected App tokens. You must promptly notify us of any unauthorized access or suspected breach, maintain appropriate device-level security, and ensure only authorized team members can initiate exports. Subdraft does not grant customers audit rights to our infrastructure but may provide security documentation upon request.

14. Beta and Experimental Features

We may invite you to use beta, preview, or experimental features. These features may be incomplete, may change without notice, and are provided solely for evaluation. We may suspend or discontinue beta features at any time, and they are provided "as is" without any commitments regarding performance or availability.

15. No Professional Advice

Generated Content, templates, and recommendations provided through the Services are for informational purposes only and do not constitute legal, financial, medical, or other professional advice. You are solely responsible for reviewing output for compliance with applicable laws, industry standards, and platform policies, and you should consult qualified professionals when needed. Subdraft does not guarantee specific performance or regulatory outcomes.

Subdraft does not guarantee improvements to marketing performance, SEO rankings, sales, or audience engagement.

16. Termination

You may cancel your Subdraft account at any time from Settings -> Account or by emailing support@subdraft.ai. We may suspend or terminate your account or access to the Services at our discretion if you violate these Terms. Upon termination, your rights to use the Services and Generated Content end, except for any perpetual rights explicitly granted under Section 8(b).

17. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SUBDRAFT MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. AI-GENERATED CONTENT IS PROVIDED WITHOUT GUARANTEE OF FACTUAL ACCURACY OR ORIGINALITY.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIGHTSPARK GAMES LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES OR GENERATED CONTENT. IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO SUBDRAFT IN THE PRECEDING THREE (3) MONTHS.

19. Indemnification

You agree to indemnify and hold harmless Lightspark Games LLC, its officers, directors, employees, contractors, and affiliates from any claims, damages, or expenses (including attorney fees) arising out of your use of the Services, your User Content, or any violation of these Terms.

20. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict-of-law principles.

21. Dispute Resolution and Arbitration

Binding Arbitration

You and Subdraft agree to resolve any dispute arising from these Terms or your use of the Services through binding individual arbitration, rather than in court. The arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Exceptions

You may pursue a claim in small claims court if eligible. Either party may also seek injunctive relief in court for intellectual property or data misuse claims.

Class Action Waiver

You agree to bring claims against Subdraft only in your individual capacity and not as part of any class or representative action.

Venue

If arbitration is not applicable, any legal action shall be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction.

22. International Users and GDPR Compliance

If you access Subdraft from the European Economic Area (EEA), United Kingdom, or other jurisdictions with data protection laws, you have rights under applicable privacy laws as described in our Privacy Policy. Subdraft processes and stores data primarily in the United States, and by using our Services, you consent to such transfer.

23. General Provisions

  • Entire Agreement: These Terms and our Privacy Policy form the entire agreement between you and Subdraft.

  • Assignment: You may not transfer these Terms without our written consent.

  • Severability: If any provision is invalid, the remaining provisions remain enforceable.

  • Waiver: Our failure to enforce any right does not waive it.

  • Force Majeure: We are not liable for delays or failures caused by events beyond our control.

24. Subprocessors

  • Supabase (USA) - managed Postgres database, auth, storage.

  • Google Cloud / Firebase (USA) - serverless runtime, logging, monitoring.

  • Stripe (USA) - subscription billing and payment processing.

  • OpenAI, xAI, Google (USA) - large-language-model providers.

  • Brevo (Sendinblue, EU data centers) - transactional and customer email delivery.
